Agreement and eligibility
These Terms of Use (“Terms”) are an agreement between you and Inkfish Consulting Ltd. (“Pairloop,” “we,” “us,” or “our”) governing access to the Pairloop website, accounts, and hosted Model Context Protocol (MCP) service (together, the “Service”). By accessing or using the Service, you agree to these Terms. If you act for an organization, you represent that you have authority to bind it, and “you” includes that organization. You must be legally able to enter this agreement. Our Privacy Policy describes our handling of personal information.
Access, accounts, and security
Access may require an invitation, an approved account, and a prepared private tenant. Joining a waitlist does not guarantee access. You must provide accurate account information, keep credentials and connected clients secure, promptly notify us of suspected unauthorized use, and remain responsible for activity under your account except to the extent caused by our breach of these Terms or applicable law. You may not share credentials or permit another person to use your account without our authorization.
We grant you a limited, nonexclusive, nontransferable, revocable right to use the Service for your internal lawful purposes while your account is authorized and you comply with these Terms. These Terms do not grant you ownership of the Service or any right to sublicense, resell, or provide it as a stand-alone service to others.
Your content and permissions
You retain your rights in the text, records, instructions, files, and other material that you or a client acting for you submit to the Service (“Your Content”). You represent that you have the rights and permissions needed to submit Your Content and to direct its processing. You are responsible for the accuracy, legality, and use of Your Content and for configuring what your connected agents may send or do.
You grant Pairloop and service providers acting on our behalf a nonexclusive, worldwide, royalty-free license to host, copy, transmit, process, analyze, and display Your Content only as reasonably needed to provide, secure, support, evaluate, and improve the Service as described in the Privacy Policy, and to comply with law. This license ends when Your Content is deleted, except for permitted backup, legal, and security retention. We do not obtain ownership of Your Content.
Unless we agree in writing, do not submit payment-card data, protected health information, government identification numbers, or other information subject to special legal or contractual handling requirements.
Acceptable use and restrictions
You may not, and may not help another person or agent to:
- access or attempt to access another account, tenant, system, or data without authorization, or bypass authentication, approval, usage limits, or security controls;
- interfere with the Service, disrupt other users, overload infrastructure, introduce malware, or send code or instructions designed to compromise Pairloop or another user’s connected agent;
- use the Service to break the law, infringe rights, harass others, or make unlawful or harmful automated decisions about people;
- scrape, harvest, or extract Service data or non-public functionality beyond the access we provide, or copy, sublicense, rent, sell, or commercially exploit the Service except under a separate written agreement;
- reverse engineer, decompile, disassemble, or attempt to derive non-public source code, models, security mechanisms, or underlying components of the Service, except to the extent a restriction is prohibited by law or an applicable open-source license; or
- test the security of accounts, tenants, or infrastructure you do not control, or conduct testing that degrades the Service, without our prior written authorization.
If you discover a vulnerability, contact us at a@pairloop.ai so we can coordinate a responsible response.
Agents, outputs, and third-party services
The Service may return stored context, task guidance, evaluations, or AI-assisted responses to an MCP client or agent you connect. Such material may be incomplete, stale, or incorrect. You must review it and remain responsible for decisions and actions you authorize, including actions taken by connected agents. Do not rely on the Service as a sole basis for a high-impact decision or for professional advice.
Third-party clients, repositories, model providers, and integrations are governed by their own terms and privacy practices. We do not control them and are not responsible for their acts, omissions, or availability. Your use of a third-party service does not expand Pairloop’s access rights or obligations under these Terms.
Ownership and feedback
Pairloop and its licensors retain all rights in the Service, including software, design, documentation, trademarks, and non-public technology. If you send suggestions or feedback about the Service, we may use them without restriction or compensation to you. This permission does not override the limits on our use of Your Content above.
Early access, fees, and changes
The Service is in early access. Features, integrations, capacity, limits, and availability may change. We may modify, suspend, or discontinue any part of the Service for maintenance, security, legal, or operational reasons. Any paid pilot, fees, or special service commitments require a separate written order; we will not charge you without one. If a signed order conflicts with these Terms, that order controls only for the subject it addresses.
Suspension, termination, and data
You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you breached these Terms, pose a security or legal risk, or use the Service in a way that could harm others or its operation. When practicable, we will give notice and an opportunity to address the issue. We may also end an early-access program on notice. Termination does not erase obligations that by their nature should survive, including ownership, payment obligations under an order, disclaimers, liability limits, and dispute provisions.
Disabling access does not automatically delete tenant records. Requests concerning Your Content are handled under the Privacy Policy and applicable law.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PAIRLOOP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY GUIDANCE OR OUTPUT WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR USE. THESE DISCLAIMERS DO NOT LIMIT RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PAIRLOOP NOR ITS SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE SAME EXTENT, THEIR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID PAIRLOOP FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100. THESE LIMITS APPLY REGARDLESS OF THE FORM OF ACTION AND DO NOT EXCLUDE LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
Indemnification
To the extent permitted by law, you will defend and indemnify Pairloop and its personnel against third-party claims, damages, and reasonable costs arising from Your Content, your unlawful use of the Service, or your material breach of these Terms, except to the extent caused by Pairloop’s own misconduct. We will give you reasonably prompt notice of a claim and reasonable cooperation in its defense.
Governing law and general terms
Colorado law governs these Terms without regard to conflict-of-law rules, except where mandatory law provides otherwise. Subject to those mandatory rights, disputes may be brought in courts located in Colorado. If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a corporate transaction. These Terms, the Privacy Policy, and any signed order form the entire agreement about the Service, except where applicable law provides otherwise.
We may update these Terms. For a material change, we will give reasonable notice before it takes effect when practicable. Continued use after the effective date constitutes acceptance, except where law requires a different process. If you do not agree, stop using the Service and contact us about your account.
